Parivox Closed Beta Terms of Use

Asparagus Works, Inc. (doing business as "Parivox," "we," "us," or "our") operates the Parivox video conferencing platform at parivox.net and rooms.parivox.net (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not use the Service.

The Service is currently in a closed beta and is available by invitation only. We may modify, suspend, or discontinue any part of the Service at any time without notice. We may revoke your access to the beta at any time for any reason.

The Service supports the following classes of users:

• Visitors: Unauthenticated individuals who browse parivox.net. Visitors may view public-facing content but may not host or join meetings.
• Users: Authenticated individuals who sign in via Google. Users may host meeting rooms, manage avatars, and invite guests.
• Guests: Unauthenticated individuals who join a meeting room at the invitation of a host. Guests may participate in a meeting but may not host rooms or access account features.
• Developers: Authenticated individuals with all User privileges who may also create embeddable widgets and submit agents to the agent marketplace.
• Admins: Authenticated individuals with all Developer privileges who may also manage the agent marketplace and the closed-beta user roster.

You must be at least 13 years old to use the Service. If you are under 18, you represent that you have your parent's or guardian's permission to use the Service.

Authenticated users sign in using Google OAuth. You are responsible for maintaining the security of your Google account and for all activity that occurs under your Parivox session. You agree to notify us promptly at support@parivox.net if you believe your account has been compromised.

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Infringe the intellectual property or privacy rights of any third party.
• Transmit malware, spam, or any harmful or disruptive content.
• Harass, threaten, or abuse other participants.
• Attempt to gain unauthorized access to the Service, other accounts, or connected systems.
• Interfere with or disrupt the operation of the Service.
• Use the Service to develop a competing product or service (this restriction applies during the closed beta only).

We may suspend or terminate your access if we reasonably believe you have violated these terms.

The Service may include AI agents powered by third-party providers such as Deepgram, OpenAI, Anthropic, Google, ElevenLabs, Cartesia, Simli, and Tavus. When AI agents are active in a meeting, participant audio and text may be processed by these providers. We do not control these providers' services and are not responsible for their performance, accuracy, or data-handling practices. AI agent output may be inaccurate or incomplete and should not be relied upon as professional, legal, medical, or financial advice.

If you have Developer or Admin access, the following additional terms apply:

• Widgets: You may create embeddable widgets that allow third-party websites to launch meeting sessions. You are responsible for ensuring that your use of widgets complies with applicable laws and these Terms.
• Agent Submissions: You may submit agents to the agent marketplace. Submitted agents are subject to review and may be removed at any time at our sole discretion. You represent that you have the right to distribute any agent you submit.
• API Credentials: You are solely responsible for any third-party API credentials you store in the Service. We are not liable for charges or consequences arising from the use of your credentials.

Our collection and use of personal information is described in our Privacy Policy, available at parivox.net/privacy. By using the Service, you acknowledge that you have read and understand the Privacy Policy.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. THIS IS A BETA PRODUCT AND MAY CONTAIN BUGS, ERRORS, AND INCOMPLETE FEATURES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ASPARAGUS WORKS, INC. OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

You agree to indemnify and hold harmless Asparagus Works, Inc. and its officers, directors, employees, and agents from any claims, losses, or damages (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

We may update these Terms at any time. We will notify closed-beta participants of material changes by email. Your continued use of the Service after a change constitutes acceptance of the updated Terms. Comprehensive terms of use will be published before the Service becomes generally available.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may stop using the Service at any time. Upon termination, your right to use the Service ceases immediately. Sections 8 through 12, and any other provisions that by their nature should survive, will survive termination.

• Governing Law: These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
• Dispute Resolution: Any dispute arising under these Terms will be resolved in the state or federal courts located in Sonoma County, California, and you consent to personal jurisdiction in those courts.
• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Asparagus Works, Inc. regarding the Service.
• Severability: If any provision of these Terms is held unenforceable, the remaining provisions remain in effect.
• No Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
